COMUNICADO AO MERCADO

São Paulo, 12 de novembro de 2021 - a Marfrig Global Foods S.A. ("Marfrig" ou "Companhia"

• B3: MRFG3 e ADR Nível 1: MRRTY) informa aos seus acionistas e ao mercado em geral que a PlantPlus Foods LLC ("PlantPlus Foods), joint venture na qual a Marfrig possui 70% de participação, firmou acordos definitivos para adquirir a Sol Cuisine Ltd ("Sol Cuisine"), empresa listada na Bolsa de Valores de Toronto - TMX - sob o código VEG, e a DEW - Drink Eat Well,
  LLC ("Hilary's"), empresa de capital fechado nos Estados Unidos da América. O valor consolidado das aquisições será de cerca de US$ 140 milhões, dos quais a Marfrig capitalizará aproximadamente US$ 100 milhões, referente à sua participação na joint venture, através de caixa próprio.

As aquisições da Sol Cuisine e da Hilary's, quando concluídas, aumentarão o portfólio de produtos e a capacidade para aprimorar as operações da PlantPlus Foods na América do Norte. As transações estão sujeitas às condições habituais de mercado.

NOTICE TO THE MARKET

São Paulo, November 12, 2021 - Marfrig Global Foods SA ("Marfrig" or "Company" - B3: MRFG3 and ADR Level 1: MRRTY) hereby informs its shareholders and the market in general that PlantPlus Foods LLC ("PlantPlus Food"), the joint venture where Marfrig has a stake of 70%, has entered into definitive agreements to acquire Sol Cuisine Ltd. ("Sol Cuisine"), a company listed on the TSX Venture Exchange - TMX - under the ticker VEG, and DEW - Drink Eat Well, LLC ("Hilary's"), a privately held company located in the United States of America. The total amount of the acquisitions will be of around US$140 million, of which Marfrig will capitalize around US$ 100 million, accordingly with its participation in the joint venture, through its own cash position.

The acquisitions of Sol Cuisine and Hilary's, when completed, will enhance PlantPlus Food' operations in North America to further grow plant-based category in whitespaces and new plant-forward solutions. The transactions are subject to customary conditions.
