MONDO TV: emessi 2 bond convertibili per un controvalore di Euro 500.000 relativi all'accordo di investimento con Atlas approvato dall'assemblea lo scorso 29 aprile 2022 e conversione di un Bond

Dopo la rinuncia alla seconda tranche comunicata in data 26 settembre 2022, residuano ancora 8 bond da emettere

20 ottobre 2022 - Si comunica che a seguito della richiesta inviata dalla Mondo TV in data 29 aprile 2022 (cfr. comunicato stampa in pari data) sono stati emessi 2 ulteriori Bond delle prima tranche di cui all'accordo di investimento tra la Mondo TV S.p.A. e Atlas Capital Markets approvato dall'assemblea della Mondo TV lo scorso 29 aprile 2022.

Si rammenta che la prima tranche ha ad oggetto 28 Bond, per un controvalore complessivo di Euro 7.000.000. Atlas si è avvalsa della possibilità di suddividere il pagamento e pertanto in data odierna sono stati emessi 2 Bond per un controvalore complessivo di Euro 500.000 che si aggiungono ai 10 bond emessi in data 13 giugno 2022 e agli 8 bond emessi in data 25 maggio 2022 (cfr. i relativi comunicati stampa in pari data).

Pertanto risultano ancora 8 bond da emettere nell'ambito della unica tranche rimasta dopo la rinuncia alla seconda tranche comunicata in data 26 settembre 2022.

Inoltre Atlas ha inviato la richiesta di conversione di un Bond. Il numero di azioni oggetto della conversione è stato determinato in conformità al dettato contrattuale sulla base del 92% del prezzo medio ponderato dei prezzi per volume delle transazioni qualificanti rilevate da Bloomberg durante tre giorni di borsa selezionati da Atlas all'interno di un periodo di 15 giorni consecutivi di borsa aperta precedenti la ricezione della Richiesta. Il prezzo così determinato è risultato essere pari a Euro 0,44531 per azione: pertanto i Bond oggetto di conversione danno diritto a sottoscrivere 561.406 azioni ordinarie Mondo TV pari a circa il 1,16% del capitale sociale attualmente in circolazione.

Il valore per azione risultante sul patrimonio netto della Società al 3 giugno 2022, come risultante dalla relazione finanziaria semestrale consolidata approvata dal Consiglio di Amministrazione in data 13 settembre 2022, risulta essere:

MONDO TV: 2 convertible bonds have been issued with a principal amount of Euro 500,000 under the investment agreement with Atlas approved by the shareholders' meeting on last 29 April 2022 and conversion of one Bond

After the waiver of the second tranche communicated on 26 September 2022, there are still 8 bonds to be issued

20 October 2022 - Mondo TV S.p.A. informs that following the notice sent by Mondo on last 29 April 2022 (see press release on such date), 2 Bonds have been issued of the first tranche provided by the agreement entered into with Atlas Capital Markets and approved by Mondo TV's shareholders' meeting on 29 April 2022.

It is recalled that the first tranche relates to 28 convertible bonds for a principal amount of Euro 7,000,000. Atlas availed of the possibility to partially defer the payment, and thus today 2 convertible bonds have been issued, for a principal amount of Euros 500,000, in addition to the 10 Bonds issued on 13 June 2022 and the 8 Bonds issued on 25 May 2022 (see the related press releases on the same dates).

Therefore, there are still 8 bonds to be issued as part of the single tranche remaining after the waiver of the second tranche communicated on 26 September 2022.

Furthermore, Atlas requested the conversion of one Bond: in accordance with the Agreement, the number of shares of the conversion was determined on the basis of 92% of the average of three days volume weighted average price of the ordinary shares of Mondo TV S.p.A. as published by Bloomberg, selected by Atlas over the period of fifteen consecutive trading days preceding the Notice. The price, determined in the above way, results to be equal to Euro 0.44531 per share: thus, the converted Bonds gives right to subscribe 561,406 Mondo TV ordinary shares, equal to around 1.16% of the actual company's capital.

The per share value on the net equity of the Company as of 30 June 2022, as reported in the six-months consolidated financial statement approved by the Board of Directors on 13 September 2022:
