PRAP Japan, Inc. (JASDAQ:2449) signed a share transfer agreement to acquire Witan Associates Limited from Hisae Akioka, Takaki Kawakami and Atsushi Kuse for ¥90 million on November 5, 2012. PRAP Japan will acquire 36000 shares of Witan Associates. Hisae Akioka will sell 72.4%, Takaki Kawakami will sell 14.4%, Atsushi Kuse will sell 13.2%. After the transaction, Witan Associates will operate as a subsidiary of PRAP Japan. For the financial year ending April 2012, Witan Associates reported sales of ¥425 million, operating profit of ¥15 million, profit of ¥1 million, total assets of ¥222 million and net assets of ¥50 million. The Board of Directors of PRAP Japan passed a resolution for the transaction on November 5, 2012 and the acquisition is expected to close on December 3, 2012.
