Randviken Fastigheter AB (NGM:RFAST) signed an agreement to acquire Balder 2 in Vaggeryd from PHL Fastigheter AB for SEK 37.3 million on November 25, 2021. The property is fully leased to strong tenants and the lettable area amounts to approximately 6,700 sqm with a total area of approximately 18,000 sqm. Total rental income amounts to approximately SEK 4.3 million per year. The acquisition is financed through a non-cash issue to the seller of SEK 15 million and to the remaining part through customary bank financing. Financing of the Acquisition is partly via a non-cash issue of newly issued shares to PHL Fastigheter AB. The subscription price shall correspond to the market value of the share and shall be determined before closing. A resolution on a new share issue will be made by the Board of Directors of Randviken in connection with the closing, and will be made on the basis of authorization from the Extraordinary General Meeting on November 17, 2021. The issue will be directed to Tosito AB and Gärhov Holding AB, which are the owners of PHL Fastigheter AB.Closing is expected to take place during the second quarter of 2022.
