COMPLETION OF THE ISSUE OF SUBSCRIPTION SHARES

UNDER THE GENERAL MANDATE

Reference is made to the announcement of China Billion Resources Limited ("Company") dated 27 November 2019 in relation to, among other things, the issue of Subscription Shares under the General Mandate ("Announcement"). Capitalised terms used in this announcement have the same meaning as defined in the Announcement.

COMPLETION OF THE SUBSCRIPTION AND ISSUE OF SUBSCRIPTION SHARES

The Company is pleased to announce that all conditions precedent under the Subscription Agreements have been fulfilled and Completion took place on 4 December 2019. A total of 2,100,000,000 new Shares have been issued and allotted by the Company to the Subscribers at the subscription price of HK$0.018 per Subscription Share in accordance with the terms and conditions of the Subscription Agreements.

EFFECTS ON SHAREHOLDING STRUCTURE

The Subscription Shares, being 2,100,000,000 new Shares, represent (i) approximately 11.08% of the total number of Shares in issue immediately before the Completion and (ii) approximately 9.98% of the total number of Shares in issue immediately upon Completion as enlarged by the issue of the Subscription Shares.
