Shenzhen Xinsheng Soyea Technology Co., Ltd signed framework agreement to acquire a 10.62% stake in Shenzhen Division Co.,Ltd. (SZSE:300167) from Shanghai Sayo Port Enterprise Consulting Services Partnership Enterprise (Limited Partnership) for approximately CNY 210 million on June 9, 2022. As per the transaction, Shenzhen Xinsheng Soyea Technology Co., Ltd will acquire 35.35 million shares at CNY 5.91 per share. The consideration shall be payable in installments as agreed between the parties. Shenzhen Xinsheng Soyea Technology Co., Ltd. shall pay CNY 10 million by June 20, 2022, CNY 96.568 million payable by September 30, 2022 and remaining CNY 102.39 million payable by January 20, 2023. As of June 20, 2022, Shenzhen Xinsheng Soyea Technology Co., Ltd. has paid CNY 10 million. Post completion, Shanghai Sayo Port Enterprise Consulting Services Partnership Enterprise (Limited Partnership) will hold no stake in Shenzhen Division Co.,Ltd.
