SOMEC: PUBBLICAZIONE DEL REGOLAMENTO PER IL VOTO

MAGGIORATO E DEL MODULO DI ISCRIZIONE NELL'ELENCO SPECIALE

San Vendemiano (Treviso), 22 giugno 2023 - Facendo seguito alla delibera dell'Assemblea straordinaria degli Azionisti del 4 maggio 2023 e alla conseguente modifica dello Statuto sociale, il Consiglio di Amministrazione di Somec S.p.A. (Euronext Milan: SOM) ha deliberato in data odierna l'adozione del Regolamento per il voto maggiorato, provvedendo contestualmente all'istituzione dell'Elenco Speciale degli azionisti che intendono usufruire della maggiorazione del voto ai sensi dell'art. 6 dello Statuto sociale.

Il Regolamento per il voto maggiorato, che disciplina tra l'altro le modalità di iscrizione, di tenuta e di aggiornamento dell'Elenco Speciale, è disponibile sul sito di stoccaggio 1info (www.1info.it) e sul sito della Società www.somecgruppo.comnella sezione Governance / Voto Maggiorato, unitamente al modulo per la richiesta di iscrizione nell'Elenco Speciale.

SOMEC: PUBLICATION OF THE RULES FOR INCREASED VOTING RIGHTS

AND OF THE REGISTRATION FORM IN THE SPECIAL REGISTER

San Vendemiano (Treviso, Italy), 22 June 2023 - Following the resolution of the Extraordinary Shareholders' Meeting held on 4 May 2023 and the consequent amendment to the Articles of Association, the Board of Directors of Somec S.p.A. (Euronext Milan: SOM) today resolved to adopt the Increased Voting Rights Rules, simultaneously establishing the Special Register of shareholders who intend to benefit of the increased voting rights, pursuant to art. 6 of the Articles of Association.

The Increased Voting Rights Rules, which govern, among other things, the procedures for registering, keeping and updating the Special Register, are available on the 1info storage website (www.1info.it) and on the Company website www.somecgruppo.comin the Governance / Increased voting rights section, together with the form for applying for inclusion in the Special Register.
