TOSCANA AEROPORTI ENTERED INTO A LOAN AGREEMENT

FOR A MAXIMUM AMOUNT OF €181 MILLION

The loan aims at supporting Pisa airport's investment plan and at strengthening the financial structure

Florence, May 23, 2024 - Toscana Aeroporti S.p.A. announces that today it has entered into a loan, partly backed by a SACE S.p.A. guarantee, for a total maximum amount of €181.3 million with a pool of leading financial institutions comprised of Intesa Sanpaolo S.p.A. (also as agent bank and SACE agent), UniCredit S.p.A., Banca Monte dei Paschi di Siena S.p.A., BNL BNP Paribas and Cassa Depositi e Prestiti S.p.A.

The loan is primarily designed to refinance the Company's current debt, support Pisa airport's investment plan and cover the working capital requirements for the Company's ordinary activity.

The loan, expiring on June 30, 2030, consists of multiple lines of credit:

  1. Term Loan, for a maximum amount of €101 million, broken down into two distinct tranches, and chiefly aimed to refinance a portion of the Company's outstanding financial debt and support the related connected expenses;
  2. Capex, also broken down into two distinct tranches, for a maximum amount of €60 million, aimed at funding Pisa airport's investment plan;
  3. Revolving, for a maximum amount of €20 million, aimed at supporting the working capital requirements of Toscana Aeroporti and granting one or more loans in favor of the subsidiary Toscana Aeroporti Costruzioni S.r.l.

Toscana Aeroporti Chairman Marco Carrai stated: "We are very satisfied with the important agreement reached with the pool of financial institutions that will make the Company's financial position even more solid. The banks and the lending institutions acknowledged Toscana Aeroporti's good creditworthiness, also in light of its sound fundamentals and excellent operating performance. These lines of credit will allow to extend the duration of the financial debt, in addition to supporting the greatest ever Pisa airport's investment plan. They will also make it possible to support the Company's growth in the coming years."

For the legal aspects relating to the loan, Toscana Aeroporti has been assisted by the law firm White & Case LLP, while the financial institutions have been supported by the law firm Gianni & Origoni.
