Item 8.01 Other Events.

On September 23, 2021, Viavi Solutions Inc. (the "Company") announced the pricing of its offering of $400 million aggregate principal amount of 3.750% Senior Notes due 2029 in a private offering that is exempt from registration under the Securities Act of 1933, as amended (the "Securities Act") (the "Offering"). The Company intends to use the net proceeds from the Offering for general corporate purposes and to pay transaction related fees and expenses. The offering is expected to close on September 29, 2021, subject to customary closing conditions.
