MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS - No.984
On March 23, 2021, the members of the board of directors, summoned by the chairman Mr. Décio da Silva, met on conference call in order to deliberate:
1. Approved by unanimous vote, as based on the estimated financial statements on March 31, 2021, to distribute interests on stockholders equity to the total amount of R$ 70,960,587.43, corresponding to R$ 0.033823529 per share or, after the 15% withholding income tax, as established on the second paragraph of article 9 of law No. 9.249/95, corresponding R$ 0.028750000 per share, based on the equity position on March 26, 2021, the shares being considered as "ex-interests on stockholders equity" from March 29, 2021. The entities that are exempt from the previously mentioned taxation shall receive the total gross amount. Interests on stockholders equity, in accordance to article 37 of WEG's by-laws and article 9 of law 9.249/95, are allotted to the obligatory dividends. Interest on stockholders equity were calculated after the deduction of 693,780 shares held in treasury, to a total of 2,097,965,219 shares. The date of credit will be on March 26, 2021 and the payment to shareholders will begin on August 11, 2021.
2. Approved by unanimous vote, the call notice and the manual for shareholders participation, related to the Extraordinary and Ordinary General Meeting, to be held on April 27, 2021.

WEG S.A. specializes in the manufacturing and marketing of electrical and electronic equipment. Net sales (including intragroup) break down by activity as follows:
- manufacturing of industrial automation equipment (32.4%): low and medium voltage electric motors, monitoring and protection systems, electrical panels, etc. ;
- production of electricity (10.5%): for thermal and hydropower plants.
The remaining of net sales (57.1%) are for activities insured abroad.
At the end of 2020, the group operated 47 production sites worldwide.
