Yamashita Medical Instruments Co.,Ltd. (TSE:3022) agreed to acquire Toms Corporation from Masanori Nakamura, Tazuko Nakamura and 13 other individual for ¥920 million on May 16, 2017. Under the terms of the transaction, Yamashita Medical Instruments Co.,Ltd. will acquire 200 shares representing 100% stake. After the completion of the transaction, Toms Corporation will became a subsidiary of Yamashita Medical Instruments Co.,Ltd. During the year ended May 31, 2016, Toms Corporation reported net assets of ¥778 million, total assets of ¥1.89 billion, revenue of ¥3.02 billion, operating profit of ¥15 million and net income of ¥22 million. The transaction was resolved by the Board of Yamashita Medical Instruments Co.,Ltd. The transaction is expected to be completed on June 1, 2017. The transaction involves ¥15 million as advisory cost.
