ESTABLISHMENT OF A NEW ENTITY IN SHANGHAI, THE PEOPLE'S REPUBLIC OF CHINA ("PRC")

Yanlord Land Group Limited (the "Company" and together with its subsidiaries, the "Group") wishes to announce that it has through its wholly-owned subsidiary, Xinfu Trade (Chengdu) Co., Ltd.1 ("Xinfu Trade"), set up a new entity in Shanghai, PRC ("New Entity"). Details of the New Entity are set out below:-

Name of New Entity	: Shanghai Fengrui Trading Co., Ltd.2
Shareholder	: Xinfu Trade (100% interest)
Registered capital	:	RMB10,000,000
Principal activity	:	Trading of building materials, hardware, etc. and other related activities

The above transaction is not expected to have any material impact on the net tangible assets per share or earnings per share of the Group for the financial year ending 31 December 2019.

None of the directors nor controlling shareholder of the Company has any interest, direct or indirect, in the above transaction save for their respective interests, through their shareholdings and/or directorships, as the case may be, in the Group.
