MC Brazil F&B Participat)es S.A. made a tender offer to acquire an additional 45.15% stake in ZAMP S.A. for RUB 1 billion .

MC Brazil F&B Participat)es S.A. made a tender offer to acquire an additional 45.15% stake in ZAMP S.A. (BOVESPA:BKBR3) for RUB 1 billion on July 30, 2022. Under the terms, MC Brazil F&B Participat)es will acquire 124,322,279 shares at a prices of BRL 7.55 per share that will be paid in cash, in one sole installment, on the OfferÆs settlement date. As on September 12, 2022, the offer price has been increased from BRL 7.55 to BRL 8.31.

Post completion, MC Brazil F&B Participat)es will hold 50.1% stake in ZAMP. As of August 17, 2022, Zamp's Board of Directors expresses an opinion against the acceptance of the offer by its shareholders. As of August 23, 2022, 20.44% of the shareholders have rejected the offer.

The Offer is not subject to registration with the Brazilian Securities and Exchange Commission (Comisspo de Valores Mobilißrios û CVM). Banco BTG Pactual S.A. (BOVESPA:BPAC3) acted as financial advisor to Zamp.
