Cosmo Issues EUR 175 million Convertible Bond

Cosmo Pharmaceuticals N.V. (SIX: COPN, "Cosmo Pharmaceuticals N.V." or the "Company") announces that it has successfully placed EUR 175 million senior unsecured convertible bonds (the "Bonds") due 2023. The net proceeds from the Offering will be used for general corporate purposes, potential acquisitions and in-licensing transactions.

"The proceeds from this transaction strengthen our position as we strategically manage our diverse portfolio of valuable assets and consider business development opportunities," said Mauro Ajani, Chairman of Cosmo Pharmaceuticals NV.

The Bonds will have a maturity of 5 years and will be convertible into ordinary shares (the "Shares") of Cosmo Pharmaceuticals N.V., sourced from existing authorized share capital, on or after 15 January 2019. The Bonds will have a coupon of 2.50%, payable semi-annually in arrear, and a conversion price of EUR 122.6806, corresponding to a conversion premium of 20% above the reference price of the Shares. The Bonds, which will be issued in denominations of EUR100,000, will be issued at 95% of their principal amount and, unless previously converted or repurchased and cancelled, redeemed at 100% of their principal amount. Cosmo Pharmaceuticals N.V. will be entitled to redeem the Bonds at their principal amount (plus accrued interest) in accordance with the terms and conditions of the Bonds at any time (i) on or after the date falling 3 years and 21 days after their issue date, if the price of a Share is equal to or exceeds 130% of the then prevailing conversion price over a certain period or (ii) if less than 15% of the aggregate principal amount of the Bonds remains outstanding. At maturity, Cosmo Pharmaceuticals N.V. will be entitled to redeem the Bonds at their principal amount (plus accrued interest) by delivering a number of Shares equal to a maximum specified percentage plus an additional cash amount, if applicable, in accordance with the terms and conditions of the Bonds. Holders of the Bonds who convert their Bonds will receive Shares with a par value of EUR 0.26 per Share.

Jefferies, Credit Suisse and Berenberg acted as joint bookrunners for the Bonds.

The settlement date of the Bonds is expected to be on or around 5 December 2018. Application for the admission to trading of the Bonds on a recognized, regulated or non-regulated and regularly operating stock exchange will be made prior to the first interest payment date.

Cosmo Pharmaceuticals N.V. and its principal shareholder Cosmo Holding Sàrl have agreed to a 90-day lock-up period from the pricing date, subject to customary exceptions.
