Fried Frank is acting as US counsel to Viavi Solutions (Viavi) in its submission of an unsolicited proposal to the board of directors of EXFO Inc. (EXFO) to acquire all outstanding subordinate voting shares and multiple voting shares of EXFO. The proposal values EXFO at approximately US$430 million. Viavi, formerly part of JDS Uniphase, is an American network test, measurement, and assurance technology company. EXFO designs and manufactures test instruments and service assurance products for fixed and mobile telecom networks. The combination of these two entities would establish a leader in communications test and measurement for the next decade.

The Fried Frank team is being led by corporate partner Philip Richter and includes corporate associate R. Kirkie Maswoswe, antitrust and competition partner Bernard (Barry) A. Nigro Jr., and antitrust and competition associate Aleksandr B. Livshits.
