Programmed Maintenance Services Limited (Programmed) (ASX:PRG) is pleased to announce that the scheme of arrangement between Programmed and its shareholders (Scheme), as approved by Programmed shareholders on 6 October 2017 and which became legally effective on 11 October 2017, has been implemented today.

In accordance with the terms of the Scheme, PERSOL HOLDINGS CO., LTD (PERSOL) (through its wholly owned subsidiary Autalent Solutions Pty Ltd ACN 620 805 647) has acquired all of the shares in Programmed.

The Scheme Consideration of $2.86 for each Programmed share held on the Scheme Record Date

(23 October 2017) was paid to shareholders today. The fully franked cash Special Dividend of $0.16 for each Programmed share held on the Special Dividend Record Date (17 October 2017) was paid to shareholders on 20 October 2017.

As contemplated by the Scheme Implementation Deed between Programmed and PERSOL, and the Scheme Booklet dated 31 August 2017, effective today each of Bruce Brook, Emma Stein, Robert McKinnon, James Walker and Lisa Paul has resigned from the Programmed board of directors, and Toshihiro Ozawa, Masamichi Mizuta, Hirotoshi Takahashi and Kiyoshi Seki have been appointed to the Programmed board of directors. Chris Sutherland will remain on the Programmed Board as the Managing Director.

Programmed now expects to be removed from the official list of ASX from the close of trading on Monday, 30 October 2017.
