Aeria Inc. (JASDAQ:3758) signed a contract to acquire Seisyou Construction Co., Ltd. from Takehisa Asano for ¥300 million on February 21, 2018. As part of the transaction, Aeria Inc. will acquire 400 shares of Seisyou Construction Co., Ltd. for ¥100 million. In addition, this transaction adopts the earn-out method, and in addition to the purchase price, additional payment ¥200 million may occur by March 31, 2023. Seisyou Construction Co., Ltd. had total assets of ¥586.3 million, net assets of ¥0.42 million, revenue of ¥1.7 billion, operating profit of ¥42.2 million and net income of ¥6.6 million for the year ending May 31, 2017. The transaction has been resolved by the Board of Directors of Aeria Inc. The transaction is expected to complete on February 21, 2018.
