O’Melveny & Myers LLP have acted as special counsel to Air Lease Corporation, in connection with the issuance and sale of USD 600,000,000 aggregate principal amount of the company’s Floating Rate Medium-Term Notes, Series A, due December 15, 2022 (the “Notes”), pursuant to a Terms Agreement, dated as of May 27, 2021 (the “Terms Agreement”), by and among the Company and the several underwriters identified as such in the Terms Agreement, each acting severally and not jointly, as purchasers. The company has previously entered into the Distribution Agreement, dated May 7, 2021, with the agents named on the signature pages thereof in connection with the offering of up to USD 15,000,000,000 (or the equivalent, based on the applicable exchange rate at the time of issuance, in such foreign currencies as the company shall designate at the time of issuance) in an aggregate principal amount of the Company’s Medium-Term Notes, Series A. The Notes constitute a tranche of a series of the debt securities registered on the Registration Statement on Form S-3 (File No. 333-255862), filed by the company with the Securities and Exchange Commission (the “Commission”) on May 7, 2021 (the “Registration Statement”). The Notes are being issued pursuant to that certain Indenture, dated as of November 20, 2018 (the “Indenture”), between the Company and Deutsche Bank Trust Company Americas, as trustee (the “Trustee”).
Air Lease Corporation is an aircraft leasing company. The Company is principally engaged in purchasing the technology commercial jet aircraft directly from aircraft manufacturers, such as Airbus S.A.S. (Airbus) and The Boeing Company (Boeing) and leasing those aircraft to airlines throughout the world. In addition to its leasing activities, the Company sells aircraft from its fleet to third parties, including other leasing companies, financial services companies, airlines and other investors. The Company also provide fleet management services to investors and owners of aircraft portfolios for a management fee. The Company operates its business on a global basis, providing aircraft to airline customers in various geographical region, including markets, such as Asia Pacific, Europe, the Middle East and Africa, Central America, South America and Mexico, and the United Kingdom and Canada. The Company has a globally diversified customer base comprised of 119 airlines in 62 countries.
