(SHSE:601997) announced that it has entered into subscription agreement with eight investors for a private placement of not more than 500 million class A shares of par value CNY 1 per share for gross proceeds of not more than CNY 4,500 million on January 19, 2020. (SHSE:600755) for not more than 160 million shares for proceeds of not less than CNY 160 million and not more than CNY 1,800 million, Guiyang State-owned Assets Investment and Management Co., Ltd. for CNY 829 million, GuiYang Investment Holding Group Co.,Ltd., for CNY 166 million, Guiyang Industrial and Commercial Industry Investment Group Co., Ltd., for CNY 118 million, Guizhou Wujiang Energy Investment Co., Ltd., for CNY 50 million, Guiyang Urban Development & Investment (Group) Co., Ltd. for CNY 300 million, Pacific Asset Management Co., Ltd., for CNY 300 million, and Aeon Insurance Asset Management Co., Ltd. for CNY 960 million.

All shares subscribed by Guiyang State-owned Assets Investment and Management Co., Ltd., GuiYang Investment Holding Group Co.,Ltd., Guiyang Industrial and Commercial Industry Investment Group Co., Ltd., and Guizhou Wujiang Energy Investment Co., Ltd. must not be transferred within 5 years from the date of issuance, and all shares subscribed by Xiamen ITG Group Corp., Ltd. (SHSE:600755), Guiyang Urban Development & Investment (Group) Co., Ltd., Pacific Asset Management Co., Ltd., and Aeon Insurance Asset Management Co., Ltd. must not be transferred within 36 months from the date of issuance. The transaction has been approved in the 1st extraordinary meeting of the 4th directorate of the company, and in the 1st meeting of 2020 of the 9th directorate of Xiamen ITG Group Corp., Ltd. (SHSE:600755). The transaction is subject to the approval of the China Securities Regulatory Commission and the shareholders of the company. The transaction does not need approval of shareholders of Xiamen ITG Group Corp., Ltd. (SHSE:600755). The securities issued hold a locking period of 36 months.
