Doximity, Inc. (NYSE:DOCS) agreed to acquire Amion for $82.5 million on February 4, 2022. The consideration will be paid $53.5 million in cash plus the potential for as much as $29 million in earnouts and fairness compensation over 4 years, subject to certain performance milestones. The Company will also issue new restricted stock unit awards worth approximately $5.0 million to certain employees joining the Company as part of the acquisition. The acquisition is subject to customary closing conditions. The transaction is expected to close April 1, 2022. As of February the acquisition is expected to close in the first quarter of fiscal 2023.
