Information on the General Meeting 2023

Geberit shareholders approve all proposals

Geberit AG, Rapperswil-Jona, 19 April 2023

At the 24th ordinary General Meeting of Geberit AG in Rapperswil-Jona, at which shareholders were present on site for the first time in four years, all proposals submitted by the Board of Directors were approved.

The shareholders approved the Financial Statements for 2022 and ratified a dividend of CHF 12.60 per share, which corresponds to an increase of 0.8% compared with the previous year. The dividend will be paid out on 25 April 2023.

The shareholders formally approved the actions of the members of the Board of Directors for their activities during the 2022 business year. The members of the Board of Directors standing for reelection for a further year in office were re-elected. During the course of these elections, the current Chairman of the Board of Directors Albert M. Baehny was also confirmed in office. Eunice Zehnder-Lai (Chair), Thomas Bachmann and Werner Karlen were re-elected to the Compensation Committee. The constitution of the Board of Directors after the General Meeting resulted in the Audit Committee comprising the following members: Felix R. Ehrat (Chair), Werner Karlen, Bernadette Koch. Furthermore, Eunice Zehnder-Lai holds the office of Vice Chair of the Board of Directors.

Based on the Ordinance against Excessive Compensation with respect to Listed Companies (OaEC), the General Meeting had to decide on proposals regarding the maximum aggregate remuneration for the members of the Board of Directors for the period until the next General Meeting, and the maximum aggregate remuneration for the Group Executive Board for the 2024 business year. The General Meeting agreed with the proposals submitted by the Board of Directors and approved the two agenda items. Furthermore, the comprehensive Remuneration Report for the 2022 business year was approved in a consultative vote.

With the entry into force of the revised corporate law on 1 January 2023, on one hand new mandatory provisions have been introduced or old mandatory provisions have been amended. On the other hand, corporate law has been modernised and adapted to the digital age. In the interests of good corporate governance, the Board of Directors has decided that the new provisions of the corporate law should already be implemented in the Articles of Incorporation this year, irrespective of the existing transition period of two years. The Annual General Meeting approved all corresponding proposals of the Board of Directors.

In addition, PricewaterhouseCoopers AG, Zurich, was confirmed as auditors for 2023. hba Rechtsanwälte AG, Zurich, represented by Roger Müller, were re-elected as the Independent Proxy.
