Hindware Home Innovation Limited informed that on recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company, vide resolution passed by way of circulation, approved the appointment of Mr. Girdhari Lal Sultania (DIN: 00060931) ("Mr. Sultania") as an Additional Director designated as Non-Executive Non-Independent Director on the Board of Directors of the Company for a term of 3 years with effect from 8th February, 2023, subject
to approval of members of the Company. Mr. Girdhari Lal Sultania holds a Bachelor Degree in Commerce and is a Fellow Member of the Institute of Chartered Accountants of India (ICAI) and the Institute of Company Secretaries of India (ICSI) with an experience of more than 50 years. He is a consultant by
profession and possesses vast knowledge and experience of Financial Restructuring, Corporate Laws, Legal Compliance and other related areas.

The Company operates through four segments: Consumer appliances business, Retail business, Building products, and others. Its Consumer appliances business includes kitchen appliances, sinks, water purifiers, water heaters, air coolers, fans, and kitchen and furniture fittings. Its Retail Business segment focuses on providing specialized home interior products under the brand name EVOK, which provides home interior and furniture products. Its Building Products Segment comprises sanitaryware, faucets, premium tiles, and plastic pipes and fittings businesses. The Company also sells its products on multi-branded furniture marketplaces such as Pepperfry, Urban Ladder, Flipkart, and Amazon.
