JBS ESTABLISHES INDEPENDENT STATUTORY AUDIT COMMITTEE

JBS S.A. (the "Company" or "JBS" - B3: JBSS3; OTCQX: JBSAY) in accordance with the terms of CVM Instruction No. 358, dated January 3, 2002, as amended, communicates to its shareholders and to the market in general that its Board of Directors ("BoD") approved the permanent establishment of a Statutory Audit Committee ("SAC"), as an advisory statutory board reporting directly to the BoD.

The SAC aims to assist the Company's BoD in carrying out its duties, including verification of compliance with all relevant policies and procedures as set forth by regulators and the BoD. The SAC shall review and verify the Company's governance and internal control systems to ensure that the Company is managed properly.

Gilberto Meirelles Xandó Baptista (SAC Coordinator and an independent board member), Paulo Sérgio Cruz Dortas Matos (independent SAC member), Orlando Octávio de Freitas Júnior (independent SAC member) and Gelson Luiz Merisio (independent member of SAC and BoD) were appointed as members of the SAC.

Brief Curriculum of the SAC members:

• Gilberto Meirelles Xandó Baptista is graduated in Business Administration from the Fundação Getúlio Vargas, has a degree in Retail Management at USP/FEA and a specialization in Business Management at Fundação Dom Cabral/INSEAD - France. He was the CEO of Vigor Alimentos S.A. for nine years and currently is a member of the Board of Directors of JSL S.A., Química Amparo Ltda. (Ypê) and Grupasso S.A.. During his career, he worked in several areas, such as Corporate Finance, Controlling, Trade Marketing, Marketing, Sales (Brazil and International) and running business units at Natura, Sadia S.A. and Coopers & Lybrand.
• Paulo Sérgio Cruz Dortas Matos holds a degree in accounting and economics, and has over
  30 years' experience in financial auditing and in assessing internal control procedures for domestic and global companies. His experience also includes leadership in due diligence projects for private equity and venture capital funds. He was a partner in Ernst & Young's Strategic Growth Markets (SGM) area, focused on developing opportunities for companies from different industries as well as for IPO´s. Dortas is also a member of the Regional Accounting Council (CRC).
• Orlando Octávio de Freitas holds a bachelor's degree in accounting from Mackenzie University and is registered with CRC-SP and IBRACON - Institute of independent auditors in Brazil. He has 35 years' experience as a professional audit in third party audit companies, such as Peat Marwick
  Mitchel, Trevisan Auditores and KPMG, of which 23 years as a partner and specialist responsible

for the audit work. He has been a member of the executive committee of Trevisan and KPMG for 15 years.

• Gelson Luiz Merisio is graduated in Business Management by Universidade do Oeste de Santa Catarina (Unoesc). He was the President of the Associação Comercial e Industrial de Xanxerê (ACIX), of the Federação das Associações Comerciais e Industriais de Santa Catarina (FACISC), of the Conselho Deliberativo do SEBRAE/SC and Vice President of the Confederação das Associações Comerciais do Brasil (CACB). Representing the entrepreneurs of Santa Catarina, he was a state deputy in the Legislative Assembly of Santa Catarina, from 2005 to 2018. In 2010, he became the President of the Legislative Assembly by unanimous vote, as well as for the following two periods (2011/12 and 2015/16).
