Technology No.1 Private Equity Fund Co., Ltd made an tender offer to acquire 35% stake in EMW Co.,Ltd. (KOSDAQ:A079190) for approximately KRW 11 billion on January 14, 2020. The consideration is paid in cash. In the acquisition Technology No.1 Private Equity Fund Co., Ltd acquires 11.12 million shares for KRW 1000 per share in EMW Co.,Ltd. if the stock doesn't meet the minimum target of 7.95 million shares, Technology No.1 Private Equity Fund Co., Ltd will buy all the shares from at least 7.95 million shares to 11.12 million shares. If the number of stocks exceeds the maximum number of shares of 11.12 million shares, Technology No.1 Private Equity Fund Co., Ltd will buy on proportionate basis. The tender period is between January 14, 2020 to February 3, 2020. The settlement date is on February 6, 2020. Hana Financial Investment Co., Ltd. acted as financial advisor in the transaction.
