Extraordinary announcement

MBH Bank Plc. (1056 Budapest, Váci utca 38.; Cg.01-10-040952; hereinafter: MBH Bank) - hereby informs capital market participants of the following.

On 10 November 2023, the Company, as the Buyer, entered into a sale and purchase agreement with

Bausparkasse Schwäbisch Hall AG (Germany), Bausparkasse Wüstenrot AG (Austria) and Wüstenrot & Württembergische AG (Germany) as Sellers for the purchase of a total of 76.35% of the shares of Fundamenta-Lakáskassza Lakás-takarékpénztár Zártkörűen Működő Részvénytársaság (registered office: 1123 Budapest, Alkotás utca 55-61).

The transaction has been successfully approved by the competition authority and the supervisory authority with certificate no. ÖB-2/2024/6 of the Hungarian Competition Authority as the competition authority on 15 January 2024, and decision no. H-EN-I-143/2024 of the Hungarian National Bank (Magyar Nemzeti Bank), as the supervisory authority on 25 March 2024. Subsequently, the Sellers and the Buyer completed the transaction on 27 March 2024, i.e. the Buyer paid the purchase price and the Sellers re-assigned the 152 771 ordinary shares as set out in the sale and purchase agreement.
