MONDO TV: Comunicazione di emissione di nuove azioni a seguito della conversione di cinque bond da parte di Atlas Capital Markets come da comunicazione del 10 agosto 2022

12 agosto 2022 - Facendo seguito al comunicato del 10 agosto 2022, Mondo TV S.p.A. comunica che sono state emesse n. 2.140.802 azioni ordinarie prive di valore nominale espresso, aventi godimento, diritti e caratteristiche pari a quelle in circolazione alla data di oggi. In particolare, tali nuove azioni sono state emesse a seguito della ricezione di una richiesta di conversione da parte di Atlas Capital Markets di cinque dei 18 bond emessi in data 25 maggio 2022 e 13 giugno 2022 (cfr. comunicati stampa in pari data) nell'ambito della prima tranche di cui al contratto Atlas approvato dalla assemblea straordinaria in data 29 aprile 2022.

L'attestazione dell'avvenuta (parziale) esecuzione dell'aumento di capitale sociale a servizio della conversione dei predetti bond sarà depositata presso il Registro delle Imprese di Roma nei termini e modalità di legge.

In conseguenza di quanto sopra, il capitale sociale risulta essere costituito da 48.240.182 azioni ordinarie prive di valore nominale espresso.

MONDO TV: Issuance of new shares following the conversion of five bonds by Atlas Capital Markets, as per communication on 10 August 2022

12 August 2022 - Following to the press release dated last 10 August 2022, Mondo TV S.p.A. informs that 2,140,802 ordinary shares without nominal value have been issued. The new shares have the same characteristics and rights of those already circulating at the date hereof. More in detail, the new shares have been issued upon receipt by Mondo TV of one conversion notice from Atlas Capital Markets for five of the 18 bonds issued on 25 May 2022 and 13 June 2022 (see the press releases respectively issued on such dates) within the first tranche under the Atlas Contract approved by the extraordinary shareholders' meeting on 29 April 2022.

The filing with the Company' Register in Rome of the relevant (partial) capital increase declaration will be performed in accordance with the modalities and within the terms set forth by the law.

The company's capital will result to be made of 48,240,182 ordinary shares.
