Tenda Co.,Ltd. (TSE:4198) agreed to acquire MITSUTOMO Technology Inc. from Ai Miki on May 18, 2022. The stock acquisition price is determined in consultation with the stock acquisition partner based on business results and financial conditions, future business plans, the results of due diligence implemented, and the stock value calculation by a third-party organization. However, it will not be disclosed due to the intention of the other party to acquire the shares. The MITSUTOMO Technology had net assets of ¥56 million, total assets of ¥166 million, sales of ¥395 million, ordinary income of ¥11 million and net income of ¥9 million, for fiscal year ending August 2021. The transaction is expected to close on July 1, 2022. The transaction will not affect the Tenda's consolidation and non-consolidated business results for the fiscal year ending May 2022. The impact on future consolidated business results is currently under scrutiny, and we will promptly disclose any matters that should be disclosed in the future.
TENDA Co Ltd mainly contracts, develops, maintains, and operates web systems and related websites (homepages and web pages used for commercial purposes), provides business products, and plans, develops, operates and maintains game content. The Company operates in three business segments. The Information Technology (IT) Solution segment provides total support for improving and reforming the business and workflow of client companies through IT, and provides total services related to system development, maintenance, and operational engineer support. The Business Product segment includes automatic manual creation software Dojo, next-generation manual navigation Dojo Sero, and robotic process automation (RPA) business automatic analysis and introduction solution platform D-Analyzer, conducts the planning, development, and sales of products that utilize artificial intelligence (AI) and the cloud. The Game Content segment provides its own games as a content provider.
