Zurich, 24 April 2024 - Shareholders of UBS Group AG approved all proposals made by the Board of Directors at today's Annual General Meeting (AGM). The independent proxy represented 1 939 988 456 votes.
Management report and consolidated and standalone financial statements 2023The shareholders approved the management report and the consolidated and standalone financial statements of UBS Group AG for the 2023 financial year by 99.22%.
Compensation Report 2023Shareholders ratified the Compensation Report 2023 in an advisory vote by 83.54%.
UBS Sustainability Report 2023Shareholder ratified the UBS Sustainability Report 2023 in an advisory vote by 93.37%.
Appropriation of total profit and dividend distribution of ordinary dividend out of total profit and capital contribution reserveShareholders approved the appropriation of total profit and an ordinary dividend distribution of USD 0.70 per share in cash (99.39%).
Creation of conversion capital and amendments to the Articles of AssociationShareholders approved the creation of conversation capital and amendments to the Articles of Association with 90.88%.
Discharge of the members of the Board of Directors and the Group Executive Board for the financial year 2023Shareholders approved the discharge of the members of the Board of Directors and the Group Executive Board for the 2023 financial year (94.81%).
Re-elections and election of members of the Board of DirectorsThe AGM confirmed Colm Kelleher, as Chairman of the Board of Directors (96.01%), Lukas Gähwiler (98.64%), Jeremy Anderson (98.40%), Claudia Böckstiegel (99.12%), William C. Dudley (98.96%), Patrick Firmenich (98.54%), Fred Hu (97.24%), Mark Hughes (99.16%), Nathalie Rachou (99.12%), Julie G. Richardson (98.00%), Jeanette Wong (97.92%) and newly elected Board of Directors member Gail Kelly (99.11%) for a one-year term of office, until the 2025 AGM.
Re-elections and election of the members of the Compensation CommitteeShareholders re-elected Julie G. Richardson (92.79%) and Jeanette Wong (95.62%) and newly elected Fred Hu (96.96%), for a one-year term of office, until the 2025 AGM.
Retroactive approval of an incremental amount of compensation for the members of the Board of DirectorsShareholders retroactively approved an incremental amount of compensation for the members of the Board of Directors from the 2023 to the 2024 AGM (89.70%).
Maximum aggregate amount of compensation for the members of the Board of DirectorsShareholders approved the maximum aggregate amount of compensation for the members of the Board of Directors from the 2024 to the 2025 AGM (89.84%).
Aggregate amount of variable compensation for the members of the Group Executive BoardShareholders approved the aggregate amount of variable compensation for the members of the Group Executive Board for the 2023 financial year (88.45%).
Maximum aggregate amount of fixed compensation for the members of the Group Executive BoardShareholders approved the maximum aggregate amount of fixed compensation for the members of the Group Executive Board for the 2025 financial year (90.97%).
Re-elections of the independent proxy, the auditors and the special auditors
Shareholders approved the re-election of the independent proxy, ADB Altorfer Duss & Beilstein AG, Zurich, (99.53%) and the auditors, Ernst & Young Ltd, Basel (93.15%) and the special auditors, BDO AG, Zurich (98.71%).
