Sub: Outcome of Board Meeting - Appointment of Company Secretary and Compliance officer (Key

Managerial Personnel) of the Company.

Ref: Regulation 30 and Schedule III of the SEBI (Listing Obligations and Disclosure Requirements)

Regulations, 2015 ('the Listing Regulations')

With reference to the above-mentioned subject, we are pleased to inform that based on the recommendation of Nomination and Remuneration Committee and pursuant to the provisions of Section 203 of the Companies Act, 2013, the Board of Directors of the Company at its meeting held today i.e. May 07, 2024 has approved the appointment of Mr. Nikhil Malpani (ICSI Membership Number- A20869) as the Company Secretary and Key Managerial Personnel of the Company with an immediate effect (from the conclusion of the said Board Meeting held today i.e. May 07, 2024).

Further, the Board of Directors has also approved appointment of Mr. Nikhil Malpani as the Compliance Officer of the Company as required under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI (Prohibition of Insider Trading) Regulations, 2015, as may be amended from time to time, with an immediate effect.

The details as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI Circular No. SEBI/HO/CFD/CD-PoD-1/P/CIR/2023/123 dated July 13, 2023, with respect to the appointment of Company Secretary and Compliance Officer are enclosed as an Annexure.

The Board meeting commenced at 14.00 hrs (IST). and concluded at 19.50 hrs (IST).
