Zhongxin Fruit and Juice Limited Announces Resignation of Tham Mun Chee as Lead Independent Director

Zhongxin Fruit and Juice Limited announced resignation of Tham Mun Chee as Lead Independent Director. To facilitate the Board's renewal process, given that Mr. Tham Mun Chee has served as a Director of the Company for close to nine years. Mr. Tham Mun Chee will resign as the Lead Independent Director and will also cease to be Chairman of the Audit Committee and Remuneration Committee, as well as a member of Nominating Committee.

The Company has identified a suitable candidate to be appointed as the Lead Independent Director in place of Mr. Tham Mun Chee and will make an appropriate announcement upon completion of satisfactory due diligence. Based on its enquiries, the Company's sponsor, UOB Kay Hian Private Limited is satisfied that, save as disclosed in this announcement, there are no other material reasons for the cessation of Mr. Tham Mun Chee as the Lead Independent Director of the Company.

The Company's primary business is the production of concentrated juice primarily for export to multinational food and beverage (F&B) corporations. The Company operates through two segments: Production of fruit juice concentrate and Processing of garlic. Its Production of fruit juice concentrate segment relates to the production of concentrated juice mainly for export to multinational F&B corporations in the United States, European Union, South Africa, Canada, Japan and Australia via SDIC Zhonglu Fruit Juice Co., Ltd (SDICZL). The concentrated juice produced is used as an ingredient in packet juice drinks, soft drinks, cider, yoghurt and candies. Its Processing of garlic segment is engaged in the processing, sorting, packaging and distribution of garlic. The Company's subsidiaries include Yuncheng Zhongxin Fruit and Juice Company Limited, and Xuzhou Zhongxin Fruit and Juice Company Limited.
