The company, executive officers, directors and director-affiliated funds have agreed, subject to specified exceptions, not to directly or indirectly sell, offer to sell or contract to sell any securities; effect a reverse stock split, recapitalization, share consolidation, reclassification or similar transaction affecting outstanding common stock; or publicly announce an intention to do any of the foregoing for a period of 30 days or 60 days, as applicable, after the date of this prospectus supplement without the prior written consent of Jefferies LLC. This restriction terminates after the closing of the common stock on and including the 60th day after the date of the prospectus supplement for the directors, officers, all but one of the directors and one of the director-affiliated funds. With respect to one of the directors and his affiliated fund, such restriction terminates after the close of trading of the common stock on and including the 30th day after the date of the prospectus supplement.
