PROPOSED PLACEMENT OF 700,000,000 NEW ORDINARY SHARES AT S$0.0027 PER SHARE

• ALLOTMENT AND ISSUE OF THE REVISED PLACEMENT SHARES

Unless otherwise defined, all capitalized terms used and not defined herein shall have the same meanings ascribed to them in the Company's announcements dated 27 July 2021, 14 September 2021 and 21 September 2021 in relation to the Proposed Placement (the

"Announcements").

The board of directors (the "Board") of CapAllianz Holdings Limited (formerly known as CWX Global Limited) (the "Company") refers to the Announcements and is pleased to announce that the Company has on 22 September 2021 completed the Proposed Placement, and 700,000,000 Revised Placement Shares have been allotted and issued to three (3) Placees (further details as set out in the Company's announcement dated 14 September 2021) by the Company on the same day in accordance with the terms of the Placement Agreement.

Following the completion of the Proposed Placement, the total number of issued Shares of the Company has increased from 6,867,914,879 Shares to 7,567,914,879 Shares. The Revised Placement Shares rank in all respects pari passu with, and carry all rights similar to, the existing issued Shares.

The AIP is not to be taken as an indication of the merits of the Proposed Placement, the Revised Placement Shares, the Company and/or its subsidiaries.

The Revised Placement Shares are expected to be listed and quoted on the Catalist of the SGX-ST with effect from 9.00 a.m. on or around 23 September 2021.
