On March 27, 2024, Eli Lilly and Company announced that it has received a shareholder proposal from As You Sow, on behalf of Marguerite Casey Foundation requesting Board for report to shareholders on the effectiveness of the Company's diversity, equity, and inclusion efforts. The report should be done at reasonable expense, exclude proprietary information, and provide transparency on outcomes, using quantitative metrics for workforce diversity, hiring, promotion, and retention of employees, including data by gender, race, and ethnicity. In addition, the board has recommended shareholders to vote against this proposal at the 2024 Annual Meeting to be held on May 6, 2024.
