No.1 Co.,Ltd (JASDAQ:3562) entered into an agreement to acquire 98.73% stake in Alexon Co., Ltd from FTGroup Co., Ltd. (JASDAQ:2763) and others for ¥2.2 billion on May 26, 2020. No.1 will purchase 0.2 million shares, representing 98.7% stake in Alexon for ¥ 9,678 per share. In a related transaction, No.1 entered into share exchange agreement to acquire remaining stake in Alexon. No.1 Co generated the net assets of ¥1533 million, total assets of ¥2283 million and sales of ¥2809 million. The Board of Directors of No.1 resolved the transaction. The transaction is expected to close on July 31, 2020.
