No.1 Co.,Ltd (JASDAQ:3562) entered into an agreement to acquire Rely Inc for ¥36.9 million on June 22, 2020. Under the terms, 1300 will be acquired at a price of ¥0.028461 million per share as a part of the acquisition. Rely will operate as a wholly owned subsidiary of No.1 Co post the completion of the transaction. The name of Rely will change to No. 1 Digital Solution as of July 1, 2020. The transaction is expected to close on June 30, 2020.
No.1 Co., Ltd. is a Japan-based company mainly engaged in the office equipment related business. The Company operates through two business segments. The Office Consultant segment is involved in the sale of office applications, and information security equipment under the brands of WALLIOR and Club One Systems, the operation of related equipment distributor business, and the provision of Internet related business, as well as management support services, including introduction of accounting, finance and labor services. The System Support segment is engaged in the maintenance of products, the sale of equipment and appliances through office mail order. The main products are copiers, multifunction peripherals (MFPs), business phones, used MFPs, and used business phones.
