Sub: Intimations under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Dear Sir/ Madam,

In continuation to our earlier disclosures in relation to the Composite Scheme of Arrangement between Brahmi Tracks Management Services Private Limited ("Brahmi") and Adani Ports and Special Economic Zone Limited and Adani Tracks Management Services Private Limited ("Adani Tracks") and Sarguja Rail Corridor Private Limited ("Sarguja") and their respective shareholders and creditors ("Scheme"), we wish to inform you that the Company, Brahmi, Adani Tracks and Sarguja have in terms of clause 6.1 of Part V of the Scheme, filed certified copy of NCLT order, sanctioning the Scheme with Registrar of Companies, Gujarat, today, i.e. 17th February, 2022.

Accordingly, the effective date of Scheme is 17th February, 2022.

Further, in accordance with the Scheme and pursuant to its effectiveness, the equity shareholders of Brahmi whose name appears in the Register of Members of Brahmi as on 18th February, 2022, will be entitled for allotment of equity shares of the Company.
