Organizational reform and changes in the Executive Officers

Following the recommendation of the Nominating Committee, and approval at the meeting of the Board of Directors held today, AGC Asahi Glass (the company) hereby announces the following changes in the assignments of Executive Officers, as well as organizational reform and other personnel changes.

1. Organizational reform that will be made as of January 1, 2018

2. The designation of Chief Compliance Officer (CCO):

   The Company will designate a Chief Compliance Officer (CCO) who is responsible for the overall management and promotion of the AGC Group's compliance-related policies, measures and framework building.

3. Organization change of corporate planning and administrative sections:

   The Company will newly establish Corporate Planning General Division which will assume the AGC Group's core corporate functions. The new division consists of Strategic Planning Division which will take charge of the management of business portfolio and corporate vision, Corporate Administration Division which will take charge of corporate governance and global management infrastructure, and SDGs Division which will take charge of the AGC Group's engagement in sustainable development goals (SDGs).

   Corporate Communications & Investor Relations Office will be split off from Corporate Planning Division to form an independent division called Corporate Communications & Investor Relations Division.

   Environment, Safety and Quality Office will be split off from General Affairs Division to form an independent division called Environment, Safety and Quality Division.

4. Organization change of technology sections:

   Intellectual Property Division will be split off from Technology General Division to form an independent division.

5. Changes in the scope of responsibilities of CFO and CTO:

   Along with the above organization changes, the scope of the responsibilities of CFO and CTO will be changed as follows:

   CFO: Corporate Planning General Div., General Affairs Div., Corporate Communications & Investor Relations Div., Legal Div., Human Resources Div., Finance & Control Div., Purchase & Logistics Div., Information Systems Div.

   CTO: Technology General Div., Productivity Innovation Div., Business Development Div., Intellectual Property Div., Environment, Safety and Quality Div.

   CEO will continue to supervise the Internal Audit Div.

6. Organization change of Electronics Company and Applied Glass Materials General Division:

   The Company will incorporate Applied Glass Materials General Division, which is operated as an independent Strategic Business Unit, into Electronics Company. This organizational change will enable collaborative activities between the two organizations in the areas of production, sales and technology and will accelerate the pursuit of future growth strategies.
