Transiro Int. AB (NGM:TIRO MTF) signed a letter of intent to acquire Sindas Informationssystem AB on October 25, 2018. The acquisition includes the company's two product areas Klartext Bus Booking and Kassanova's business system. In addition, the Company has entered into an agreement with Dividend Sweden AB, which means that Dividend Sweden AB will, with preferential rights through transferred subscription rights, subscribe for a total of 4 million shares corresponding to SEK 1 million in the rights issue. After allocation and delivery of the shares, these will be distributed by Dividend Sweden AB to its shareholders in spring 2019. All in order to broaden Transiro's shareholder base to facilitate trading in the share. The acquisition of Sindas is financed through a bridge financing which will be resolved in connection with the rights issue issued by Transiro and has decided to implement with preference for existing shareholders. Sindas Chief Executive Officer Fredrik Schön will remain in his current role and will be part of Transiro Group Management. The transaction is conditional on the usual due diligence process and is expected to be completed in January 2019. The acquisition will have a positive effect on net profit and net cash flow from the start. Transiro Int. AB (NGM:TIRO MTF) completed the acquisition of Sindas Informationssystem AB for SEK 7.4 million on December 20, 2018. The consideration is paid in cash at two payment dates, SEK 6.4 million has been paid in connection with the access and SEK 1 million is due in December 2019. The Board has decided to issue a rights issue to fund the purchase.
