Hashimoto Sogyo Holdings Co., Ltd. (TSE:7570) agreed to acquire the remaining 81.6% stake in Murabayashi, K.K. from Yoichi Murabayashi on July 30, 2018. The share transfer contract is expected to be concluded on August 2, 2018. Under the terms, Yoichi Murabayashi, a minority shareholder of Murabayashi, K.K., will first acquire the shares held by 3 other individual shareholders of Murabayashi, K.K. and then, Hashimoto Sogyo Holdings Co., Ltd. will acquire 0.04 million shares of Murabayashi, K.K. from Yoichi Murabayashi. Post completion, Hashimoto Sogyo Holdings Co., Ltd. will hold 0.05 million shares, representing 100% stake in Murabayashi, K.K. The transaction was resolved by the Board of Directors of Hashimoto Sogyo Holdings Co., Ltd. on July 30, 2018. The share transfer is expected in mid-September 2018.
